Terms of Service

1. User Information

You  may be a natural person or corporation utilizing the Service (“User”). Accounts registered by “bots” or other automated methods are not permitted.

You undertake to give correct and accurate information about your identity upon registration and to maintain such information up-to-date.

You are solely responsible for the use of your user name, password and account. Intraboom assumes no liability whatsoever, and shall not be responsible for any disclosure or unauthorized use of your user name or password and/or any damages arising therefrom.

2. Account

You may use the Service free of charge as a member to a group/project existing under another User’s account. Creating an account of your own is only required if you wish to set up your own projects/groups.

As part of the Service, you may set up an account, under which you may create groups/projects. You may invite other individuals to become members (each with their own username and password) of these groups/projects existing under your account.

Members belonging to any groups/projects existing under your account are entitled to utilize your disk space and any services, whether paid or unpaid, available under your account.

You may designate account administrators (“Admins”) for your account. Admins shall have the same rights to your account as you do, including but not limited to the right to make additional purchases on the account on your behalf.

You are responsible for all content and activity that occurs under your account, even when content is posted by other Users under your account.

3. Responsibilities

You are responsible to ensure that you have the legal right, based on age and other grounds, to use the Service and to execute any legal actions which you undertake through the Service. In case you are under 18 years of age, you must obtain the consent of your legal guardian to register as a User for the Service.

You may access and use the Service only for lawful and authorized purposes. The Service may not be used for any illegal purpose or in violation of any applicable laws, including but not limited to copyright laws. Intraboom shall not be responsible or liable for any material made available or sent through the Service by any User.

Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis. Intraboom EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED.

You must make all reasonable efforts to ensure that you do not spread any viruses or cause any overload or other hindrance on the Service, and that your actions otherwise do not cause any damage or disturbance to the Service or other Users.

Intraboom shall use its best efforts to administer and publish the Service in accordance with good practice related to data security, using appropriate technology. Nevertheless, the Internet as an environment may entail risks to the functionality of your hardware or software or data security. Intraboom shall not be liable for any technical or other malfunction or threat to you or a third party caused by the Service or its use.

Intraboom does not warrant that the Service will meet your specific requirements or that the Service will be timely, uninterrupted, secure or error-free.

Intraboom shall not be responsible or liable for any damage, loss or hindrance, which may be caused directly or indirectly by an interruption in the Service, an interruption in communication, or other interruption or malfunction in the Service (which may also be caused e.g. by maintenance measures). Intraboom shall also not be liable under any circumstances for any modifications in or loss of data, or for the unavailability of the Service or any part thereof. Furthermore, Intraboom shall not be liable for any damages or losses which may result from any modifications, price changes, suspension or discontinuance of the Service.

Intraboom shall have the unilateral right to modify, supplement and/or remove any features and/or applications from the Service, temporarily or permanently, without notice. Any new feature that may be introduced to the Service by Intraboom, including the release of new tools or resources, shall be subject to these Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.

4. Subscription, Payments and Refunds

The Service is offered as a “Free Plan,” a “Basic Plan,” and  “Premium Plan.” Each plan offered establishes limitations as set forth below:

Flat monthly fee (base price) includes up to 100 users. Additional users will be charged at $4.99 (€4.65) per month.

Text (SMS) messages and disk space available under your account can be utilized by any Users belonging to groups/projects existing under your account. You will not be credited for any unused disk space or text messages, and any unused text messages included in the monthly subscription do not roll over from one subscription period to the next. Add-on text messages separately purchased (i.e. not included in the monthly plan) do not expire.
 
(* Due to government restrictions, text (SMS) messages are not offered as part of the Service, and are not included in any accounts/subscriptions in unsupported countries, which include (but may not be limited to) the following (text messages will also not be delivered if a sender's or recipient's phone number is in an unsupported country): Abkhazia, Armenia, Bosnia and Herzegovina, Burundi, Democratic Republic of Congo, Georgia, Iran, Kazakhstan, Kenya, Kosovo, Montenegro, Morocco, Myanmar, Nigeria, Oman, Russia, Serbia, Sri Lanka, Syria, Uganda and Uzbekistan.)
 
Text messages initiated through the Service are transmitted through a third party application provided by Infobip Limited (Company Number: 7085757, registered in the United Kingdom and whose registered office is situated at 5th Floor, 86 Jermyn Street, London SW1Y 6AW, hereinafter referred to as “Infobip”) subject to Infobips’ terms of service and policies applicable from time to time. If a text message is sent within a country/network allowing dynamic display of the sender's information, the User's mobile phone number verified within the Service will be displayed to the recipient as the sender of the text message.  If the message is sent within a country/network not allowing dynamic display of the sender's information, the message will appear to be sent from a random number and cannot be replied to.
 
The subscription of the Service is ongoing, and is renewed automatically for a one (1) month subscription period at a time. Once a paid plan subscribed, the Service cannot be unsubscribed to end until the end of the first subscription period.
 
Payment for the subscription of the Service can be made with a major credit card through the online payment system. The Service shall be charged to the credit card each subscription period.
 
All fees are exclusive of all taxes, levies or duties imposed by taxing authorities, and the subscriber shall be responsible for payment of all such taxes, levies or duties.
 
You may upgrade your plan or terminate your account at any time through your Account page or by contacting the customer service of Intraboom (support@intraboom.com). If you choose to terminate your account, the Service shall terminate at the end of the subscription period ending at least five (5) days after the notice of termination was received.
 
Downgrading your plan is not possible through your Account page – in case you would like to downgrade your plan, you must contact the customer service of Intraboom (support@intraboom.com).
 
Possible changes in prices shall be notified by Intraboom thirty (30) days in advance through the Service.
 
If you are unhappy with the Service for any reason, please contact us at support@intraboom.com. Full and partial refunds can be issued by Intraboom on a case-by-case basis.

5. Registration of Personal Information

Intraboom shall process personal information of its Users in accordance with the laws and regulations which it is subject to, in force from time to time, with due care and in accordance with good data processing practices. For more information, please review our Privacy Policy.

6. Intellectual Property Rights

All content posted on the Service must comply with applicable copyright laws.

Intraboom claims no intellectual property rights over the material made available by its Users through the Service. Any copyrights to your material shall remain with you.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without the express written permission of Intraboom.

7. Term and Termination

These Terms of Service shall be applied as of the moment you register to the Service and shall continue to be applied until you remove your profile and User account from the Service. Upon termination, Intraboom shall have the right to remove all content and material related to your profile and account without separate notification.
 
Intraboom shall have the right to terminate the Service without notice (1) in case the Service has been used or utilized in breach of these Terms of Service, or (2) in case the charge for the subscription from the credit card notified by you fails, and you have not executed payment within fourteen (14) days after a notice has been given through the Service. For the avoidance of doubt, Intraboom shall not have any responsibility or liability to store or maintain any content or material posted by you or any other Users via the Service to a group/project under your account upon termination of the subscription.

8. Assignment and Transfer

You may transfer your account to another User subject to the account transfer policies applied by Intraboom from time to time.

Intraboom shall have the unilateral right to assign and transfer the agreement between you and itself to a third party.

9. Miscellaneous

Intraboom shall have the right to monitor your Internet use and behavior within the Service and utilize the results of such monitoring. The monitoring shall always be conducted in such a manner that no results of a single User may be followed or published.

Intraboom may utilize information given by you for marketing cooperation purposes with third parties. Intraboom may expose you to commercial communication and advertising through the Service or via email.

10. Limitation of Liability

Intraboom shall not, under any circumstances, be liable for any indirect, incidental, special, exemplary, consequential or punitive damages (including loss of revenue or profit, lost sales or business or lost data) caused to you, another User or a third party. Further, Intraboom shall not be liable for any amount, in the aggregate, in excess of the fees paid by you during the six (6) months immediately preceding the event giving rise to your claim and, in the event no fees apply, one hundred ($100) US dollars.

Some States do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the limitations set forth in these Terms of Service may not apply to you. In these States, Intraboom’s liability will be limited to the greatest extent permitted by law.

11. Applicable Law and Dispute Resolution

The law exclusively applicable to the Service and these Terms of Service shall be the laws of the State of Florida, without giving effect to any conflict of law rules.

Any dispute, controversy or claim related to the Service and/or these Terms of Service which cannot be resolved informally between yourself and Intraboom (excluding any Intraboom claims for injunctive or equitable relief) shall be resolved by binding arbitration by the American Arbitration Association (“AAA”) in the city of West Palm Beach, Florida, United States, under the commercial rules then in effect for the AAA, except as provided herein. The award rendered by the arbitrator shall include costs of arbitration, reasonable attorney’s fees and reasonable costs for expert and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall be deemed as preventing Intraboom from seeking injunctive or equitable relief from the courts as necessary to protect any of Intraboom’s proprietary interests. All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. YOU AGREE THAT BY ACCEPTING THESE TERMS OF SERVICE AND BY ENTERING INTO THIS AGREEMENT, YOU AND INTRABOOM ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
